SHIPVALUE.NET Copyright & Confidentiality Agreement Terms and Conditions of Use Thank you for contacting Clarksons "SHIPVALUE.NET" site which is provided by Clarkson Valuations Ltd ("Clarksons"). This page states the terms and conditions ("Terms") under which you may use "Shipvalue.net". By seeking Price Guidance (implied by your action of inserting letters or digits into the "Name of Ship Field" or selecting a Clarksons Register) you accept and agree to abide by, without limitation or qualification, these Terms. If you do not agree to abide by any of the Terms as noted here, please do not make any insertions or selections. Clarksons may, at any time, decide to modify or revise these Terms. We would therefore advise you to visit this page in order to see any such modifications or revisions. Part 1. Use of material The material contained within the Shipvalue.net Web Site ("Web Site"), including but not limited to text, Price Guidance, Time Series, software, graphics, logos and other material ("Material") is the property of Clarksons who retain full copyright of the Material. Use of the Material is granted to the Client in return for an agreed subscription or consideration. Non payment does not release the user from his obligations outlined in this contract. Use of the Material in the Web Site is granted only to the Client with whom or from whom Clarksons has agreed or received payment. Clients are permitted to download or record material and use it, with proper attribution, in their daily business. This permission strictly excludes reports, financial statements, presentations, prospectuses or other analyses prepared in connection with the raising of finance or other products offered for sale to third parties or for free distribution without the written permission of Clarksons. If you would like to obtain Clarksons' permission to use any of the Material in any other way or if you would like to link your Web Site to Shipvalue.net, please Email: shipvalue@clarksons.co.uk If you violate any of the Terms, your access to the Material will be automatically terminated and you will be obliged to immediately destroy any copies you have made of the Material, and withdraw any statements made using the material. Part 2: Nature of material and limitation of liability. Whilst care has been taken in the production of the material displayed in Shipvalue.net all information including price guidance is for general use and is not designed to be used for any specific purpose. In the circumstances no liability can be accepted for any loss incurred in any way whatsoever by any person who seeks to rely on the information contained herein. It is understood and agreed that the complex nature of the shipping business may result in inherent limitations, inaccuracies and shortfalls in the information collected, processed and provided by Clarksons. For example: (i) Information in the Clarksons database may be based on estimates or subjective judgements (such as ship prices where no sales information for comparable ships is available); (ii) The information in the databases of other maritime data collection agencies may vary from the information in the Clarksons database; (iii) Whilst Clarksons has taken reasonable care in the compilation of its statistical and graphical information, which is believed to be accurate and correct, the compilation of data is inherently subject to limited audit and validation procedures and may therefore contain errors. (iv) Shipping is volatile, and price guidance is only applicable at the time it is given, and should not be considered relevant at any other time, or remain valid, price guidance can only provide a benchmark from which the user may form an opinion as to the relevance of the benchmark and deduce the value relative to their own enquiry. Specialised vessels, among them, but not limited to, chemical tankers, open-hatch bulk carriers, wood-chip carriers, ore carriers, ice strengthened vessels, combination carriers etc , may have a value which deviates far from the Price guidance offered, but Price Guidance may none-the -less, for the user, still provide a useful benchmark. (v) Nothing on the Shipvalue.net site should be construed, or interpreted is a valuation of, or relating to a specific ship or class of ships. Clarksons, its agents, officers and employees shall in no circumstances whatsoever be liable, in negligence or otherwise, for any loss suffered by the client or any third party arising from the provision of information by Clarksons for any purpose. Clarksons cannot guarantee that Shipvalue.net will be on-line at all times, or that all its functionality will be available at any specific time. In addition, although we take precautions to ensure that our server and the system are protected from viruses, we cannot guarantee that computer viruses or other harmful items may not be present in the system. If you use hipvalue.net or the Material in it you do so at your own risk. Clarksons cannot be responsible for any costs incurred involving the servicing or replacement of equipment or data, as a result of any such harmful items being encountered. Some of the Material on Shipvalue.net is provided by third parties and Clarksons cannot be held responsible for third party Material. Information has been taken for Clarksons reports, which may not be reproduced without the written permission of Clarkson Valuations Studies. Part 4: Hyperlinks to Other Sites Shipvalue.net may contain links to third party web sites. As these web sites are maintained by others, Clarksons cannot be held responsible for the content or accuracy of the material of such web sites. Clarksons may provide the links to third party web sites as a convenience for the client and not as any form of endorsement of these sites. Any decision to visit a linked third party web site must be taken at the Client's risk. Part 5: Indemnity The Client agrees and hereby undertakes to hold Clarksons and its affiliated companies, its agents, officers and employees ("Indemnified Parties") harmless against all demands, actions, claims, liabilities, losses, costs, charges and expenses ("Claims") arising out of your use of the Material or your breach of the terms of this Agreement. This undertaking shall apply only to the extent that the Indemnified Parties are named, or threatened with being so named, in an action or proceeding alleging that the Material on Shipvalue.net was false or misleading or otherwise partially or wholly gave rise to the alleged cause of action. Part 6: Jurisdiction Clarksons does not claim that the Material incorporated in Shipvalue.net is suited for any specific use or audience. If you access Shipvalue.net from outside the United Kingdom, you are responsible for compliance with the laws in your jurisdiction with regard to the downloading of Material. The registered office of Clarksons is London, England. All legal claims relating to and arising from use of the Material incorporated in Shipvalue.net shall be subject to and judged in accordance with English law.
